Constitution and Bylaws

ARTICLE 1

    SECTION 1

    Name. This organization will be known as the Hawaii Joint Police Association (HJPA).

    SECTION 2 The HJPA is a non-profit educational and philanthropic organization whose primary purpose is to unite those men and women affiliated with law enforcement and private security agencies into a cohesive unit dedicated to the maintenance of law and order, advancement of the police and security profession, and to foster cooperation among law enforcement and security members.

    Objectives.

    To provide activities that consist of a monthly program for discussion groups, panels, lectures, etc., which pursue goals of crime prevention and law enforcement security matters of common interest.

    To promote social programs that contribute to lessening crime, neighborhood tensions, and eliminate prejudice and discrimination to protect the law and combat community deterioration and juvenile delinquency.

    To provide an annual scholarship, if funds are available and appropriated, for the advancement of higher education.

    To support charitable campaigns to the fullest extent practical.

    To honor members of law enforcement and security agencies who have exemplified themselves beyond the normal pursuit of their duties.

    To encourage law enforcement and security personnel to further their training and education, and to uphold the highest standards of conduct, proficiency and integrity.

    To allow the Executive Committee of HJPA to formulate plans for projects, meetings, seminars, guest speakers and conferences that are in keeping with the aims of the association.

    To do anything further that would implement the above specified objectives of the association.

ARTICLE II

    Membership

    SECTION 1

    Classes of Membership. The membership of the association shall be classified as Active and Honorary members.

    SECTION 2

    Active Members. The following persons shall be eligible for active membership - Law enforcement personnel from Federal (including military), State, City and County, private civilian security organizations and retired personnel of law enforcement and security activities, all of whom having an interest in pursuing criminal investigative or law enforcement and security activities.

    Each application for active membership shall be endorsed by an active member of this association in good standing, who shall certify that he or she is personally acquainted with the applicant, and that they believe the applicant meets the necessary criteria. A majority vote of the Executive Committee will be necessary to approve each applicant for active membership.

    Membership Termination. Membership termination will be caused when any member’s action is deemed detrimental to the HJPA. Removal from the association will be by approval and majority vote of the Executive Committee. Remaining dues will be forfeited. The terminated member would be given notification by certified mail of intent to terminate, and proper mailing of notification would be presumed to be actual notification to said member. A member being terminated may request a hearing within 30 days from date of letter, if so desired. Hearing would be before the Executive Committee.

    SECTION 3

    Corporate Members. The following organizations or companies shall be eligible for corporate membership Ð Law enforcement organizations or companies from federal (including military), state, city and county, and private civilian security organizations all of whom having an interest in pursuing criminal investigative or law enforcement, loss prevention, and security activities.

    SECTION 4

    Honorary Members. Persons who have rendered distinguished public service in the administration of criminal justice, or made an outstanding contribution to the science of public functions, shall be eligible for election as honorary members of this association.

    SECTION 5

    Dues. The annual dues of active members shall be established by the Executive Committee, but will not be less that twenty-five dollars per year, renewable on 1 January of each year, and membership shall be for the calendar year. The annual dues of corporate members shall be established by the Executive Committee, but will not be less that one hundred dollars per year, renewable on 1 January of each year, and membership shall be for the calendar year.

    SECTION 6

    Application. Applications or recommendations for each membership in this association shall be submitted on such form and in such manner as the Executive Committee may prescribe.

    SECTION 7

    Each application for active membership shall be endorsed by an active member of this association in good standing. Upon receipt of the application, and the payment of the proper dues, the Secretary shall publish notice of such application in the official monthly Newsletter of the association. If after 30 days following such publication, no written objections to the applicant are received, the President shall cast the ballot for this association in favor of the applicant and he or she shall thereupon, be duly elected. Any written objections received within 30 days shall be submitted to the Executive Committee and shall require the affirmative vote of two-thirds of the members of that committee for admission of applicant.

ARTICLE III

    Officers

    SECTION 1

    Designation of officers. The officers of this association shall be President, Vice President, Secretary, Treasurer and Sergeant at Arms.

    SECTION 2

    Qualifications. All active members of the association shall be eligible to hold office.

    SECTION 3

    Term of Office. All officers shall serve for a term of two years unless the officer ceases to qualify or is terminated.

    SECTION 4

    Nominations. Nominations may be made by the members of the Nominating Committee, appointed by the Executive Committee. The size of the nominating committee shall be determined by the committee chair. The nominating committee shall recommend no more than two members for each office. Nominations may be made from the floor during the October meeting.

    SECTION 5

    All nominations shall be voted upon in the manner established by the nominating committee and published for all members in attendance at the November meeting.

    SECTION 6

    The President shall act as Chairman of the Executive Committee and shall preside at monthly or special meetings of the association. The president shall appoint such standing and special committees as are authorized by Constitution of the Association, or by its Executive Committee.

    SECTION 7

    Vice President. It shall be the duty of the Vice President to perform all duties of the President during the president's absence. The Vice President will chair the Program and Education Standing Committee.

    SECTION 8

    Secretary. The Secretary shall keep the minutes of the meetings of the members and of the Executive Committee in one or more books provided for that purpose; see that all meeting notices are duly given in accordance with the provisions of this constitution; be custodian of the records of the association; keep a membership roll that shall at all times be current, showing the mailing address (to include fax and e-mail) of each member; and in general, perform all duties incident to the office of the Secretary and such other duties as from time to time may be assigned to that office by the President or the Executive Committee. The Secretary is responsible for creating and distributing a monthly newsletter to all members of the association.

    SECTION 9

    Treasurer. The Treasurer shall be responsible for the custody of all funds and securities belonging to the association. The Treasurer shall disburse funds only in accordance with the provisions of this Constitution and the rules established by the Executive Committee. The Treasurer shall cause the receipts and disbursements of the association to be audited annually by a recognized firm of Certified Public Accountants designated by the Executive Committee and shall make a full written financial report to the association at its annual "Election" of Officers" meeting. The Treasurer shall chair the Finance Committee.

    SECTION 10

    Sergeant-at-Arms. The SA imposes fines and maintains order at the direction of the President; counts votes, insures no breach of constitution at open and closed meetings. (Responsible for the National Flag and HJPA Colors).

    SECTION 11

    Chaplain. The Chaplain of this association shall be an appointed officer. The Chaplain will be appointed by the President and shall hold office for one year, or until a successor has been appointed.

    SECTION 12

    Compensation of Officers. No officer of this association may receive compensation except for actual expenses incurred in the performance of duties, and for which budgetary provisions have been made by the Executive Committee.

    SECTION 13

    In the absence of the President of the association, due to sickness, reassignment, etc., the Vice President will assume leadership.

    In the absence of the President and Vice President, the Board of Trustees shall, with the remaining offices of the association (secretary, treasurer, sergeant at arms) meet to appoint an interim President and Vice President to preside over association functions until the next general election which is held in November of each year.

ARTICLE IV

    Board of Trustees

    SECTION 1

    Membership. There shall be a Board of Trustees of this association consisting of the immediate past officers of the association, excepting that no person will remain on the Board of Trustees for more than three consecutive terms.

    SECTION 2

    Duties and Responsibilities. The Board of Trustees shall, with the current officers of the association, comprise the Executive Committee with responsibilities as stated in Article V.

ARTICLE V

    Executive Committee

    SECTION 1

    Membership. There shall be an executive Committee of this association consisting of the President, Vice President, Secretary, Treasurer, Sergeant-at-Arms, and the Board of Trustees.

    SECTION 2

    Duties and Responsibilities. (Same as Section 2, Article IV).

    SECTION 3

    Meetings. The Executive Committee shall convene at any time and place at the call of the President of the association.

ARTICLE VI

    Standing Committees

    SECTION 1

    There shall be the following standing committees in this association

      Awards
      Budget
      Bylaws and Policy
      Finance
      Legislative Affairs
      Membership
      Program/Training
      Publicity/Community Relations
      Scholarship
      Social/Welfare
      Ways and Means

    SECTION 2

    The Chair of all standing committees shall be appointed by the President.

    SECTION 3

    The President may appoint other committees as needed from time to time.

    SECTION 4

    The term of office of etch member of the committee shall be the same as the term of the appointing officer.

ARTICLE VII

    Legal Advisor

    SECTION 1

    The President shall appoint a Legal Advisor with the approval of the Executive Committee.

ARTICLE VIII

    Fiscal Year

    SECTION 1

    The fiscal year of the association shall be from 1 January to 31 December.

ARTICLE IX

    Monthly Meetings and Functions

    SECTION 1

    Time and Place. The association shall meet monthly either for a meeting or a social function, and the location of said meeting or function would be determined by the President. The meeting will be held in conjunction with a luncheon wherein the assessment of each member attending will be the necessary amount to cover the cost of the meal plus administrative costs or expenses incurred. Monthly meetings are normally held on the first Friday of each month.

    SECTION 2

    Quorum. A quorum at any meeting requires that 20% or 1/5th of the total registered members must be present in order to transact and vote on official matters.

    SECTION 3

    Rules of Order. In the absence of any provisions to the contrary, all meetings of the association and all meetings of the Executive Committee shall be governed by the parliamentary rules and usage’s contained in the current edition of Robert’s Rules of Order, revised.

ARTICLE X

    Amendments

    This Constitution may be amended by the affirmative vote of two thirds of the members present and eligible to vote at the business session of any monthly meeting of the association, provided that the proposed amendment that may be filled by one or more members of the association with the President, shall have been submitted with a written explanation of the reasons for the proposed amendment at least 30 days before the meeting, at which time it is to be offered. The Executive Committee shall study and consider the proposed amendment, and shall report its recommendations thereon to the Association before the membership shall vote upon it.
